Trade Terms

Kaito & Co Trade Terms — Version 1.0, 5 October 2026

These terms apply to every sale by Danida Group Ltd, trading as Kaito & Co, a company registered in Scotland (company number SC896507), registered office 8 Mosman Place, Aberdeen, Scotland, AB24 4LG ("we", "us"), to a trade customer ("you"). Contact: support@kaitoandco.co.uk.

They apply instead of any terms you send us, including terms on a purchase order, unless a director of Danida Group Ltd agrees otherwise in writing.

The clauses in bold are particularly important. Please read them before you order.

1. Who can buy

1.1 Trade accounts are only for businesses buying in the course of their trade, business or profession. By applying, ordering or accepting a quote, you confirm you are not buying as a consumer.

1.2 We may ask for evidence of your business (company number, VAT number, website, invoices) and may refuse an application without giving reasons.

1.3 We may suspend or close a trade account at any time. Orders we have already confirmed will still be completed on these terms, unless you are in breach.

1.4 Trade prices are for your business use and your clients' projects. Please do not publish or advertise them.

2. Prices, quotes and orders

2.1 A quote is valid for 30 days from its date, unless it says otherwise.

2.2 Prices are in pounds sterling. We are not currently VAT-registered, so no VAT is charged. If we register, VAT will be added at the current rate to orders confirmed after that date. Delivery is charged as stated on the quote or at checkout.

2.3 Every quote is subject to confirmation of stock, supplier availability and lead time when you accept it. If anything has changed, we will tell you before taking your deposit.

2.4 For quoted orders, a contract is formed only when we confirm your order in writing after receiving your signed acceptance and deposit. For orders placed through your trade account online, a contract is formed when we send dispatch confirmation. Every quote, order confirmation and invoice is subject to these terms.

2.5 We may correct obvious errors in a quote, price list or website price before we confirm an order.

2.6 Trade prices are net prices. Retail promotions shown on our website — including multi-buy offers (such as "Buy 2, save 10%"), bundle or "complete the look" savings, sale prices and discount codes — are for retail customers only. They do not apply to trade accounts and cannot be combined with trade pricing, even if they are displayed while you are signed in. For 5 or more of a piece, ask us for a project quote.

3. Payment

3.1 For orders placed through your trade account online, payment is due in full at checkout.

3.2 For quoted and made-to-order orders, a deposit of 50% of the order value is due on acceptance. The balance is due before dispatch. We dispatch only once we have received cleared funds.

3.3 We do not offer credit terms unless agreed in writing. Agreed credit terms can be withdrawn for future orders.

3.4 If you pay late, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and suspend delivery until you have paid.

3.5 You must pay in full without deducting or withholding any amount, including retentions or set-off, unless we agree in writing.

4. Made-to-order goods and cancellation

4.1 Many of our products are made or sourced specifically for your order. Your deposit pays for materials and production that we commit to our supplier on your behalf.

4.2 You may cancel without charge before we have placed the order with our supplier or production has begun. We will refund your deposit within 14 days, less any costs we have already paid and cannot recover. We will tell you the date production starts.

4.3 Once we have placed the supplier order or production has begun, you cannot cancel. If we agree in writing to accept a cancellation, we will keep the deposit to cover the costs we have committed. If the goods have already been made, shipped or delivered to us, the full price is payable.

4.4 You cannot change quantities, sizes or finishes once clause 4.3 applies, unless we agree in writing. An agreed change may affect price and lead time.

4.5 Orders of stock items can be cancelled only before dispatch.

5. Natural materials

5.1 Our products use natural alabaster, marble, travertine, stone, linen, rattan, wood and other natural materials. Veining, colour, tone, translucency, weave and surface texture vary from piece to piece, and from our photographs and samples. Natural fissures, inclusions and colour variation are characteristics of the material.

5.2 This variation is not a defect, does not make goods unfit for purpose, and is not a reason for rejection, return or price reduction.

5.3 Images, samples and descriptions are representative only. If close matching across a run is important, tell us in writing before you order. We will try to select matched pieces but cannot guarantee it.

6. Delivery and risk

6.1 Lead times are estimates, not guaranteed dates.

6.2 We are not liable for losses caused by late delivery, including project delays, liquidated damages, penalties, or the costs of labour or trades on site. If we are more than 8 weeks later than the estimated date for reasons within our control, you may cancel the undelivered goods and receive a refund of the money you paid for them. This is your only remedy for late delivery.

6.3 We deliver to the address on the order. You must make sure someone is there to receive the goods and that the site is safely accessible. If delivery fails because of you, we may charge for redelivery and storage.

6.4 We may deliver in instalments. Each instalment is a separate contract.

6.5 Risk passes to you on delivery.

7. Inspection on delivery

7.1 Inspect the packaging when it is delivered. If it is damaged, sign the delivery note "damaged" and describe the damage.

7.2 You must inspect the goods and tell us about any damage, shortage or wrong item within 48 hours of delivery (excluding weekends and public holidays), with photographs of the goods and packaging. Keep all packaging until the issue is resolved.

7.3 If you do not tell us within that time, the goods are treated as delivered complete and free from visible damage. This does not affect your rights for hidden faults under clause 9.

8. Returns

8.1 We do not accept change-of-mind returns of made-to-order goods or of project or bulk orders (5 or more of a piece).

8.2 We may, at our discretion, accept a return of unused stock items in original undamaged packaging if you ask within 14 days of delivery. Returns are at your cost and risk, and a restocking fee of 20% of the price applies. We will refund within 14 days of receiving and inspecting the goods.

8.3 Goods that have been installed, altered or wired cannot be returned, except under clause 9.

8.4 Our retail returns policy, and any returns, delivery or warranty messages shown on product pages (such as "30-Day Returns"), apply to retail customers only. Trade orders are governed by these terms.

9. Faulty goods

9.1 We warrant that, for 24 months from delivery, the goods will be free from material defects in manufacture and workmanship, allowing for clause 5.

9.2 Tell us in writing within 14 days of discovering a fault, with photographs and details. We may ask to inspect the goods or have them returned. If the fault is confirmed, we pay the return cost.

9.3 If goods are faulty, we will, at our option, repair, replace or refund them. This is your sole remedy for faulty goods, subject to clause 12.1.

9.4 The warranty does not cover natural variation (clause 5), fair wear and tear, or damage caused by incorrect installation, misuse, modification, or bulbs, dimmers or accessories not supplied by us. Nor does it cover use outside the product's stated IP rating or specification.

10. Installation

10.1 All products must be installed by a qualified electrician in accordance with BS 7671 (IET Wiring Regulations), any applicable building regulations and our instructions.

10.2 You are responsible for checking that a product is suitable for its location, including IP rating and bathroom zones, ceiling or wall load, and dimmer compatibility.

10.3 We are not liable for loss or damage caused by incorrect installation or by modifying the product.

10.4 We do not provide lighting design or installation services. Product information is given for guidance, and you remain responsible for your specification.

11. Ownership (retention of title)

11.1 Ownership of the goods stays with us until we have received payment in full for those goods and all other sums you owe us.

11.2 Until then, you must store the goods separately and identified as ours, keep them insured, and not remove any identifying marks.

11.3 If you do not pay when due, or you become insolvent, we may recover the goods, and you allow us to enter premises where they are kept to do so.

11.4 You may resell or install the goods in the ordinary course of business before ownership passes, but this right ends automatically if you become insolvent. Installation does not affect your obligation to pay the full price.

12. Limitation of liability

12.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for breach of the implied terms about title, or for anything else that cannot be limited by law.

12.2 We are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, contracts or goodwill, project delays, liquidated damages or penalties, or the costs of labour, removal, reinstallation, scaffolding or access.

12.3 Our total liability for each order is limited to the price of that order.

12.4 Except as set out in these terms, all other warranties and terms implied by law are excluded to the extent the law allows. This does not remove your rights under clause 9.

12.5 These limits are reasonable because you can insure your own project risks, trade prices reflect them, and you can ask us for different terms at a different price.

13. General

13.1 Force majeure. We are not liable for delay or failure caused by events outside our reasonable control, including supplier or quarry delays, shipping and port disruption, extreme weather, strikes, epidemics or government action. If such an event lasts more than 90 days, either of us may cancel the affected order, and we will refund money paid less costs already committed.

13.2 Changes to these terms. We may update these terms. New versions apply to orders confirmed after we have notified you. The version that applies to each order is the one stated on the quote or order confirmation.

13.3 Entire agreement. These terms, the quote and our order confirmation are the whole agreement between us. Your purchase order terms do not apply.

13.4 Assignment. You may not transfer your rights without our written consent.

13.5 Third parties. Nobody other than you and us has any right to enforce these terms.

13.6 Severance. If any part of these terms is unenforceable, the rest remains in force.

13.7 Notices. Notices must be in writing, which includes email to the address on your account or to support@kaitoandco.co.uk.

13.8 Data. We use your business contact details to run your account and orders, as described in our Privacy Policy.

13.9 Governing law and jurisdiction. These terms and any dispute are governed by the law of Scotland. You agree to the jurisdiction of the Scottish courts. We may also bring proceedings in any other court with jurisdiction over you.
